Job Description

Asst. Division Head / Dy. Division Head (Governance, Risk, Compliance)

  • Leading the Governance, Risk, and Compliance (GRC) division for the organization which includes areas of Legal, Secretarial, Governance, and Audit
  • Responsible for plan, designing, monitoring, implementing, and review of strategies and processes in the areas of GRC in alignment with the organizational goals and parent company requirements.
  • Responsible for analyzing and identifying the legal risk and implications of all the business transactions, keeping the senior management in all departments of the business informed of developments in laws and regulations that potentially affect the business.
  • Knowledge in drafting, vetting, and negotiating various national and international business contracts including licensing/out-licensing, business development & business alliance deals.
  • Provide legal protection and risk management advice to management, especially on contract management.
  • Knowledge in Designing contracting templates & defining standard contract management procedures.
  • Responsible for corporate/business/contractual & commercial litigation in courts/arbitration forum.
  • Representing the organization in cases filed before various courts. Handling disputes, arbitration & litigations.
  • Thorough understanding of the various areas in a typical contract such as legal, regulatory, tax, service delivery, commercial, technical, etc.
  • Internally assess, evaluate, and make recommendations to management regarding the adequacy of the security controls for the Company’s overall information
  • Manage the entire gamut of Secretarial activities for the organization to ensure overall compliance with various Corporate Laws and ensure the best corporate governance practices in terms of secretarial and other procedural aspects.
  • Responsible for managing the Internal / External / Parent Company Audits
  • Responsible for compliance reporting to BoD on a regular interval
  • Striking the right balance between governance requirements and business objectives
  • Review of contracts for completeness and compare them with the leading practices relevant to the sector.
  • Review and abstraction of contractual terms and conditions, Legal health checks; and contract compliance reviews.
  • Ability to handle other corporate matters like M&A, statutory Compliance & advisory, marketing & labor laws.
  • Prepares budgetary recommendations that meet departmental goals and provide for effective management of resources.
  • To manage and mentor the team of subordinates

Position Details:

Qualification: LLB (Mandatory) + CS (Mandatory) + LLM (Preferred)

Experience: 10 – 18 years

Reports to: Director Corporate

Team Size: 2 reportees (qualification: LLB & CS)
